摘要:市场经济条件下，商业秘密是参与市场竞争的有力武器，由于内含极高的商业利润和市场价值，商业秘密成为极具商业价值的无形财产，对其保护势在必行。近二十年来，我国已加快了保护商业秘密的立法进程，但由于立法起步比较晚，有关商业秘密的法律保护无论是理论研究，还是法律实践，均同国外的先进水平有一定差距。本文首先阐述了完善商业秘密法律保护的必要性，接下来指出我国商业秘密法律保护存在的缺陷，通过借鉴国外先进的经验，寻求我国商业秘密法律保护的完善措施，以期为我国建设社会主义法治社会提出积极的建议。

Abstract:Commercial secret is a powerful weapon for participating the competition under the market economy.With its crucial business profit and market value, it has become a kind of intangible property with unpredictable commercial value. China has speed up its legislation process of protection law on commercial secret in recent two decades;however, it still lags behind the international advanced level in terms of theory research and legal practice.This paper expounds the perfect commercial secrets of the necessity of legal protection, and then points out that China trade secrets law protection defects, through the learn from foreign advanced experience, seek China's commercial secrets of the perfect legal protection measures to our country construction socialist legal system society puts forward positive Suggestions.

　　　商业秘密如同著作权、专利和商标一样，是一种重要的知识产权，商业秘密法律制度是知识产权法中举足轻重的部分，是知识产权法律体系中的四个基本支柱之一。随着社会的进步，科技水平的日益发展、商业秘密在社会的各个领域、都将发挥越来越重要的作用。近年来，我国商业秘密保护的立法与司法实践取得了很大的进步。但现有的法律较为分散，不能充分有效的保护商业秘密。所以务必加快立法步伐，加大司法保护力度，进一步完善我国商业秘密的法律保护。目前，我国正在制定关于商业秘密保护的专门法律，这对于规范我国的市场竞争秩序、维护商业道德水平，促进科学技术的进步无疑会起到重要的作用。
