摘要：我国修正后的《公司法》明确规定由国务院向国有独资公司派出监事会，这是从体制上、机制上、法律制度上规范对国有独资公司的监督。国有独资公司当前存在着职工监事未能有效发挥监督职能，监事会与董事会职权重叠等问题。本文认为，应通过完善制度设计，完善监事会的监督体系与外派监事考评体系，职工监事有效发挥监督职能、董事会与监事会职权合理分配以及强化监事会的权威来完善国有独资公司监事会职能，巩固国有独资公司在国民经济中重要的影响力。

Abstract:China revised Company law definitely prescribes that outside Supervisory board will be sent to wholly state-owned company by the State Council,this will provide supervisory criterion from sides of system,mechanism and law.The state-owned company  currently exists with the problems that employee supervisors can not effectively play an oversight function,the Supervisory Board and Board of Directors powers overlap. This paper argues that, should through the perfect system design and perfect the supervision system of the board of supervisors and assignment supervisors evaluation system, the worker supervisors develop supervisory function effectively, the board of directors and the board of supervisors functions and powers of the board of supervisors shall strengthen the reasonable allocation, and to perfect the authority of the board of supervisors of a solely state-owned company functions, consolidate a wholly state-owned company in the national economy important influence.
