摘要：一人公司既有传统公司的优势又有自己的特点。它可以刺激投资者的热情和积极性，鼓励投资，促进整个社会经济的发展和繁荣。新《公司法》明确地赋予了一人公司以合法地位，这对于完善我国公司法律制度，完善我国市场经济的自由竞争体制意义非凡。但由于立法的不完善以及一人公司本身的缺陷导致其监督机制存在不足，实践中一人公司的运行也是问题频发。本文通过研究一人公司监督机制缺陷问题及新《公司法》的法律规定，同时参考国外相关立法，从一人公司内部监督机构的完善，以及引进金融监督体制中的信用评级机制来进行对一人公司监督机制的改进。

Abstract：One-member company has both traditional company advantages but also have their own characteristics, can stimulate the enthusiasm of investors and enthusiasm, encourage investment, promote the economic and social development and prosperity.
