摘要:百胜餐饮集团作为全球最大的餐饮集团，在全球餐饮业中正发挥着越来越重要的作用，这类大型跨国公司在融资战略方面进行调整和变化以及新的模式将对资本市场的发展和世界经济格局的变化产生影响。分析跨国公司给所在国和母国经济发展带来机遇与挑战，有利于我国产业升级与借鉴。本文以美国百胜餐饮集团为例的跨国公司在美元贬值时期降低资金成本不断扩大全球市场份额，通过一系列并购等融资行为持续增强竞争力。本文结合运用宏观分析与微观供求分析、比较分析与实证分析相结合的方法从百胜餐饮集团融资的实际情况出发，从而对跨国公司在中国融资问题进行研究。

本文通过对百胜餐饮集团并购融资新举措与方向进行比较研究，发现我国企业目前跨国并购融资方式运用中存在的不足，并针对这些不足之处，提出我国企业跨国并购融资方式的改进策略，包括：将民营资本引入并购融资，开放商业银行并购贷款，发展资本市场，加强金融创新，积极培育投资银行；以及我国企业跨国并购融资方式的进一步拓展的路径，包括：借鉴杠杆收购融资，积极发展换股并购。并结合美国百胜餐饮集团并购小肥羊火锅这一案例进行分析，为我国企业跨国并购融资指明了发展方向，尤其是其符合国际发展趋势的“现金+股票”的支付方式及吸引战略投资的并购融资策略值得借鉴。有效的跨国融资是经济全球化时代企业扩张的重要途径，也是我国企业实施“走出去”战略的一种重要实践形式。因此，借鉴百胜集团的成功经验，丰富我国跨国融资工具品种以及发现融资新方向显得日益重要。
